A.R. Schmeidler & Co., Inc.

In accordance with Rule SEC 11Ac1-6, A.R. Schmeidler is required on a quarterly basis to disclose the manner in which its orders for clients are routed. Client orders are routed to the respective broker-dealer that either clears or custodies the account. A.R. Schmeidler currently has fully disclosed clearing agreements with Pershing LLC ("Pershing") and J.P. Morgan Clearing Corp. A.R. Schmeidler does not receive payment for order flow with either Pershing or J.P. Morgan Clearing Corp. Commissions generated from transactions in non-ERISA accounts are shared with A.R. Schmeidler. In addition, A.R. Schmeidler has a custody agreement with Fidelity Brokerage Services LLC ("Fidelity"). Under this arrangement, Fidelity custodies all accounts and facilitates trading in those accounts. A.R. Schmeidler does not receive payment for order flow with Fidelity, however, does participate in the client referral program.
